Introduction

Users will have access to Shopwindow under the terms of use ("Terms of Use") outlined below. Please read these terms carefully. By using Shopwindow website or products, you indicate your acceptance of these terms of use. As used in "Terms of Use," the term Product refers to Shopwindow and its user manual. The term "Supplier" refers to AI LABS LLC (doing business as Shopwindow, also referred to as "we" or "us"). You agree that your viewing, using, and experiencing Shopwindow will not breach any agreement to keep in confidence any confidential information belonging to any previous employer, agreement, or other person.

Changes

The most recent version of these Terms of Use is reflected by the version date located at the bottom of this page. All updates and amendments are effective immediately upon notice, which we may give by any means, including, but not limited to, by posting a revised version of these Terms of Use or other notice on our website. If you would like to receive Terms of Use update notifications from us via email, please contact us and let us know the best email address to send those updates to.

Confidential Information

  1. Users acknowledges that they will be given confidential trade secret information. Specifically, users agree that the characteristics, methods, conversations, materials and potential IP developments, and Product itself (including all software and any documentation) are all confidential information and constitute trade secrets of Supplier. (This information is referred to as Confidential Information.) You acknowledge that using Shopwindow will induce Supplier to make Confidential Information available to you.
  2. Users agree not to disclose Confidential Information to any person or organization until notified in writing by the Supplier unless otherwise required by law. Users shall advise all persons in their organization who have access to the Confidential Information of the confidential nature thereof, and of the restrictions imposed by Terms of Use. Users shall limit access to the Confidential Information to such a limited number of your employees as is necessary for your use of Shopwindow. You shall cause such employees to protect the confidentiality of the Confidential Information consistent with your obligations hereunder.
  3. Users agrees not to decompile or reverse engineer the Product at any time during or after use. Users agree to not take screenshots, video, or any other recordings of Shopwindow and/or to publish that or any media, diagrams, descriptions that a user would see when logged in to Shopwindow. This is to prevent competitors from learning Shopwindow's trade secrets.
  4. Users agrees to take all reasonable steps to see that its employees, officers, and agents guard against and prevent disclosure of Confidential Information and to act in accordance with the confidentiality provisions of Terms of Use. User further agrees that information will be available to its employees and officers and agents strictly on a need-to-know basis and are subject to an obligation of confidentiality.

Proprietary Rights

  1. Users acknowledge that in the course of supplying Shopwindow, Supplier may use software and related processes, instructions, methods, and techniques that have been previously developed by Supplier (collectively, the Pre-existing Materials, which shall include all aspects of the Product) and that the same shall remain the sole and exclusive property of Supplier.
  2. Except as expressly set forth herein, no license is granted by either party to the other with respect to the Confidential Information or Pre-existing Materials. Nothing in your use of Shopwindow grants you any ownership or other interest, in the Confidential Information or Pre-existing Materials, except as may be provided under a license specifically applicable to such Confidential Information or Pre-existing Materials.

Service

Shopwindow company developers are available to users Monday - Friday from 8:00 am to 5:00 pm EST. Company developers will do everything possible to mold Shopwindow to users business needs and provide training. Company developers offer anytime phone support, videos, and screencasts for training, creative programs, and remote problem solving. If you request a new feature to be built that does not exist within Suppliers product set, Supplier makes no guarantee how long it will take to make the feature available and no guarantee that the feature will become available at all. Supplier makes no guarantee that the same account manager(s) will be available for the entire duration of your subscription to Shopwindow. Changes in account managers are possible and if they occur, Supplier will make every effort to ensure minimal disruption to the quality of customer service throughout the transition.

Copyright

Users understand and acknowledge that publishing copyrighted materials that you do not own is against copyright laws and is punishable in accordance with those laws. You agree that Supplier is in no way responsible for any copyright infringements you may make using Shopwindow.

Data

Shopwindow does not own, give, or sell any of a users data. The data belongs to and only to the user. Data can be downloaded into a .CSV file at any time at the request of a user at no cost to the user. If requested, Supplier shall provide user with data in a timely manner. Shopwindow data is backed up and stored in SOC 2 compliant secure dedicated hard servers on INAP. Shopwindow's privacy policy can be viewed at https://shopwindow.io/privacy-policy.

Data Compliance Laws

Supplier represents and warrants to users that Shopwindow and the services to be provided under Terms of Use do and will at all times comply with all applicable laws, regulations and rules, including those covering telecommunications, data security and privacy issues. Supplier shall indemnify, defend and hold harmless users for any claims in any way connected to a breach of the foregoing representation and warranty.

State Audit

The books, records, documents and accounting practices and procedures of Supplier relevant to your use of Product shall be subject to examination by users.
